  10. 1. General; Definitions. This License applies only to the following software
  11. programs: the open source versions of Sybase's Watcom C/C++ and Fortran compiler
  12. products ("Software"), which are modified versions of, with significant changes
  13. from, the last versions made commercially available by Sybase. As used in
  14. this License:
  15. 1.1 "Applicable Patent Rights" mean: (a) in the case where Sybase is the grantor
  16. of rights, (i) claims of patents that are now or hereafter acquired, owned
  17. by or assigned to Sybase and (ii) that cover subject matter contained in the
  18. Original Code, but only to the extent necessary to use, reproduce and/or distribute
  19. the Original Code without infringement; and (b) in the case where You are
  20. the grantor of rights, (i) claims of patents that are now or hereafter acquired,
  21. owned by or assigned to You and (ii) that cover subject matter in Your Modifications,
  22. taken alone or in combination with Original Code.
  23. 1.2 "Contributor" means any person or entity that creates or contributes to
  24. the creation of Modifications.
  25. 1.3 "Covered Code" means the Original Code, Modifications, the combination
  26. of Original Code and any Modifications, and/or any respective portions thereof.
  27. 1.4 "Deploy" means to use, sublicense or distribute Covered Code other than
  28. for Your internal research and development (R&D) and/or Personal Use, and
  29. includes without limitation, any and all internal use or distribution of Covered
  30. Code within Your business or organization except for R&D use and/or Personal
  31. Use, as well as direct or indirect sublicensing or distribution of Covered
  32. Code by You to any third party in any form or manner.
  33. 1.5 "Larger Work" means a work which combines Covered Code or portions thereof
  34. with code not governed by the terms of this License.
  35. 1.6 "Modifications" mean any addition to, deletion from, and/or change to,
  36. the substance and/or structure of the Original Code, any previous Modifications,
  37. the combination of Original Code and any previous Modifications, and/or any

  48. 1.8 "Personal Use" means use of Covered Code by an individual solely for his

  175. Code is not intended for use in the operation of nuclear facilities, aircraft
  176. navigation, communication systems, or air traffic control machines in which
  177. case the failure of the Covered Code could lead to death, personal injury,
  178. or severe physical or environmental damage.
  179. 9. LIMITATION OF LIABILITY. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT
  180. SHALL SYBASE OR ANY CONTRIBUTOR BE LIABLE FOR ANY DIRECT, INCIDENTAL, SPECIAL,
  181. INDIRECT, CONSEQUENTIAL OR OTHER DAMAGES OF ANY KIND ARISING OUT OF OR RELATING
  182. TO THIS LICENSE OR YOUR USE OR INABILITY TO USE THE COVERED CODE, OR ANY PORTION
  183. THEREOF, WHETHER UNDER A THEORY OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE),
  184. PRODUCTS LIABILITY OR OTHERWISE, EVEN IF SYBASE OR SUCH CONTRIBUTOR HAS BEEN

  188. SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Sybase's or any
  189. Contributor's total liability to You for all damages (other than as may be
  190. required by applicable law) under this License exceed the amount of five hundred
  191. dollars ($500.00).
  192. 10. Trademarks. This License does not grant any rights to use the trademarks
  193. or trade names "Sybase" or any other trademarks or trade names belonging to
  194. Sybase (collectively "Sybase Marks") or to any trademark or trade name belonging
  195. to any Contributor("Contributor Marks"). No Sybase Marks or Contributor Marks
  196. may be used to endorse or promote products derived from the Original Code
  197. or Covered Code other than with the prior written consent of Sybase or the

  199. 11. Ownership. Subject to the licenses granted under this License, each Contributor
  200. retains all rights, title and interest in and to any Modifications made by
  201. such Contributor. Sybase retains all rights, title and interest in and to
  202. the Original Code and any Modifications made by or on behalf of Sybase ("Sybase
  203. Modifications"), and such Sybase Modifications will not be automatically subject
  204. to this License. Sybase may, at its sole discretion, choose to license such

  207. 12. Termination.
  208. 12.1 Termination. This License and the rights granted hereunder will terminate:
  209. (a) automatically without notice if You fail to comply with any term(s) of

  212. (b) immediately in the event of the circumstances described in Section 13.5(b);

  217. 12.2 Effect of Termination. Upon termination, You agree to immediately stop
  218. any further use, reproduction, modification, sublicensing and distribution
  219. of the Covered Code and to destroy all copies of the Covered Code that are
  220. in your possession or control. All sublicenses to the Covered Code that have
  221. been properly granted prior to termination shall survive any termination of
  222. this License. Provisions which, by their nature, should remain in effect beyond
  223. the termination of this License shall survive, including but not limited to
  224. Sections 3, 5, 8, 9, 10, 11, 12.2 and 13. No party will be liable to any other
  225. for compensation, indemnity or damages of any sort solely as a result of terminating
  226. this License in accordance with its terms, and termination of this License
  227. will be without prejudice to any other right or remedy of any party.
  228. 13. Miscellaneous.
  229. 13.1 Government End Users. The Covered Code is a "commercial item" as defined
  230. in FAR 2.101. Government software and technical data rights in the Covered
  231. Code include only those rights customarily provided to the public as defined
  232. in this License. This customary commercial license in technical data and software
  233. is provided in accordance with FAR 12.211 (Technical Data) and 12.212 (Computer

  252. 13.5 Severability. (a) If for any reason a court of competent jurisdiction
  253. finds any provision of this License, or portion thereof, to be unenforceable,
  254. that provision of the License will be enforced to the maximum extent permissible
  255. so as to effect the economic benefits and intent of the parties, and the remainder
  256. of this License will continue in full force and effect. (b) Notwithstanding
  257. the foregoing, if applicable law prohibits or restricts You from fully and/or

  259. of either of those Sections, this License will immediately terminate and You

  264. of California, and You and Sybase hereby consent to the personal jurisdiction
  265. of, and venue in, the state and federal courts within that District with respect
  266. to this License. The application of the United Nations Convention on Contracts
  267. for the International Sale of Goods is expressly excluded.
  268. 13.7 Entire Agreement; Governing Law. This License constitutes the entire
  269. agreement between the parties with respect to the subject matter hereof. This
  270. License shall be governed by the laws of the United States and the State of
  271. California, except that body of California law concerning conflicts of law.
  272. Where You are located in the province of Quebec, Canada, the following clause
  273. applies: The parties hereby confirm that they have requested that this License
